Terms of Service

1. Fixed Price Agreement

Each Rapid Sprint engagement is priced at a fixed rate of ฿190,000 THB (Thai Baht). This price is all-inclusive and covers discovery, design, development, testing, deployment, and 30 days of post-delivery support. No additional charges will be incurred for work within the agreed scope.

2. Scope and Change Management

The project scope is defined and agreed upon before development begins. The scope document specifies all features, integrations, and deliverables included in the sprint. Any changes to the agreed scope must be documented in writing and may require a separate sprint or additional fees.

3. Delivery Timeline

Each Rapid Sprint is completed within 2-3 weeks from the start of development. The timeline begins after scope approval and receipt of the initial payment. We commit to delivering working software within this timeframe, subject to timely feedback and approvals from the client.

4. Intellectual Property Ownership

Upon full payment, all intellectual property rights to the custom software developed during the sprint transfer to the client. This includes source code, documentation, and any custom assets created for the project. The client receives full ownership with no licensing restrictions or ongoing royalties.

Note: Third-party libraries, frameworks, and open-source components used in development remain subject to their respective licenses. We will provide documentation of all third-party dependencies.

5. Payment Terms

Payment is structured as follows:

  • 50% upfront upon scope approval (฿95,000 THB)
  • 50% upon delivery and acceptance (฿95,000 THB)

Payments are due within 7 days of invoice. Development begins upon receipt of the initial payment.

6. Limitation of Liability

Dryv Technology's liability is limited to the total amount paid for the specific sprint in question. We are not liable for indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

The software is delivered "as specified" in the scope document. While we ensure the software meets the agreed specifications, we do not guarantee specific business outcomes or results.

7. Warranty and Support

We provide a 30-day warranty period after delivery. During this period, we will fix any bugs or issues that prevent the software from functioning as specified in the scope document at no additional cost.

Support does not include new feature development, changes to requirements, or issues caused by modifications made by the client or third parties.

8. Refund Policy

If we are unable to deliver the software as specified in the scope document, the client is entitled to a full refund of all payments made. Refund requests must be made in writing with specific details of how the deliverables fail to meet the scope.

If the client cancels the project before completion, the upfront payment is non-refundable as it covers discovery, planning, and initial development work.

9. Confidentiality

Both parties agree to maintain the confidentiality of any proprietary or sensitive information shared during the engagement. We will not share your business information, processes, or software requirements with third parties without your written consent.

10. Governing Law

These terms are governed by and construed in accordance with the laws of Thailand. Any disputes arising from these terms or the services provided shall be subject to the exclusive jurisdiction of the courts of Thailand.
